The Global Warming Threat

The looming global warming crisis is the single most serious issue facing our planet today. Accelerating climate changes are responsible for the alteration of the earth's landmass and rising ocean temperatures, destroying ecosystems and threatening the survival of numerous plant and animal species. The scientific community has acknowledged that global warming, primarily caused by manmade greenhouse gases such as carbon dioxide from burning fossil fuels, will soon pass the point of no return to a healthy atmosphere unless halted and reversed.

In addition to the destructive impact of greenhouse gases, the high price of fossil fuels and the political issues regarding the availability and accessibility of the supply are driving the market demand for alternative fuels.

Within its Industrial Division, Valcent is utilizing its revolutionary technology to develop a photosynthetic bioreactor which is being employed to grow massive quantities of fast-growing vegetable oil producing algae as feedstock for refineries that produce biodiesel, the world's fastest growing bio fuel. The Vertigro process also absorbs and sequesters carbon dioxide, potentially garnering saleable carbon credits. In joint venture with Global Green Solutions, Inc. (OTCBB: GGRN), four one-quarter acre greenhouses have been constructed and stocked with Vertigro bioreactors in El Paso, Texas. This pilot project is intended to demonstrate commercial scale production and substantiate projected vegetable oil yields of 180,000 gallons per acre per year, and confirm estimated production costs of $25 per barrel. Vertigro is scalable and multi suited for a wide variety of environments and climates. It has potential for global impact as it provides a desperately required, profitable source of vegetable oil feedstock for biodiesel and does not negatively impacting the cost of food crops, such as corn and soy.

In conjunction with the commissioning of the commercial production facility, the Company is nearing completion of a world class laboratory at the test site. This laboratory enables the Company's scientific team to type and characterize algae species in three to four weeks for many purposes, such as optimization with respect to oil production, optimization of growth patterns, determination of climatic and nutrient requirements, selection of suitable native species, and many other vital characteristics. Also, the lab is capable of conducting tests on multiple species simultaneously. If Valcent had to depend on traditional testing methods, that same research would take nine to twelve months to achieve results for a single species.

Consumer Products Division

Within its Consumer Products Division, the Company has three products in the pipeline. First, in February 2007, the Nova Skin Care System, www.novaskincare.com, billed as the industry's most technologically advanced in-home skin care system, was officially launched. An alternative to expensive facial treatments and Botox(r) injections, Nova Skin Care is patent-pending and clinically-proven to decrease wrinkles, increase skin elasticity and improve overall health of the skin. Second, the Dust Wolf was introduced as a unique and innovative rough surface cleaner that removes dust and dirt from Venetian blinds, computers, and other impossible to clean objects in the home or office. Third, Tomorrow Garden is a versatile plant technology with over 50 patents that grows plants up to 20% faster and lengthens plant life by 3 to 6 months by using an enclosed membrane that doesn't require water and uses only ambient light. Consumers can enjoy gardening and cooking with fresh herbs, fruits and vegetables year-round without worrying about the seasonality. Business owners benefit from increased longevity on the shelf.

Nova Skin Care System

As an aging Baby Boomer population lives longer and healthier lives, consumers are clamoring to look as young as they feel, with minimal expense and interruption to their daily lives. Popularity in skin care treatments has created an estimated $80 Billion for skin care products in North America. The patent-pending Nova Skin Care system provides a convenient at-home facial treatment that can bring that much sought after "celebrity glow" to the skin without surgery, microdermabrasion or painful injections of toxins.

The Nova Skin Care System includes: Purify, a purifying cleanser specially formulated for deep cleansing without stripping essential oils; Reveal, a deep pore refining scrub with micro-beads; and Quench, a rejuvenating cream. Each kit includes the NOVAtique unit, which uses micro-vibrations to gently release toxins from the skin and reveal a healthier complexion.

Dr. Peter Pugliese, a pioneer of cosmetic research, was commissioned to conduct Nova's clinical trials. At the completion of the trials he stated, "100% of the subjects in the treated group were pleased with the results from the Nova Skin Care System. This is very unusual, in most studies 85 - 90 % are pleased, this was the first time 100% were pleased." He also noted "The mere fact it was capable of increasing collagen and elastin over 2 months, is effective against aging."

Valcent jump-started market adoption of Nova Skin Care through direct marketing --infomercials and home shopping channels that first ran in mid-December 2006, with a full launch of infomercials which begin April, 2007. Full-scale manufacturing commenced this year with 20,000 units available for sale. Initial direct response results from online orders at Nova Skin Care System, www.novaskincare.com, were strong. Management projects the Nova Skin Care System could achieve annualized sales of $70 million with a pre-tax profit of $12 million or 25 cents a share on a forward basis during 2007.

Tomorrow Garden

Products built on Valcent's highly advanced proprietary and patented plant technologies called "Tomorrow Garden" are set for release in 2007. This versatile technology has applications and characteristics which include:
  • A membrane within which it is possible for grown plants to stay fresh for three to six months in ambient light and with no watering.
  • Laboratory controlled genetically identical propagation of mass quantities of plant tissue without genetic manipulation.
  • A method of turning carbon dioxide into biomass at a greatly accelerated rate.
Real-world products, which are now being developed utilizing these technologies, include an easy-to-use kit intended for household use, which can grow masses of vegetables or herbs within a small space. A larger version will be marketed in developing countries to improve health standards and employment.

Dust Wolf

A versatile, multi-purpose duster, the Dust Wolf uses a sophisticated dual impeller system, electrostatically charged brush and powerful rotation to make short work of tedious or "impossible" jobs, removing dust easily and rapidly. It is not motorized, but takes its power through an attachment to most household vacuum cleaners. Unlike other dusters that simply move dust around, the Dust Wolf removes the dust from the environment, which is particularly useful for millions of common allergy sufferers. New uses for the convenient Dust Wolf keep popping up; cleaning Venetian blinds, piano keys, picture frames, lamp shades, computer keyboards and other rough surfaces.
